Terms of Service

By using SEAES ("the Platform"), you agree to these Terms of Service. If you do not agree, do not use our services. These terms govern your use of the AI-powered SEO and GEO automation platform operated by SEAES.

1. Service Description

SEAES is an AI-powered platform that provides:

  • Automated SEO auditing (technical, on-page, content, performance analysis)
  • Daily keyword ranking tracking via Google Search Console
  • GEO (Generative Engine Optimization) visibility monitoring across AI platforms
  • AI-generated optimization recommendations
  • Automated content and meta tag optimization (with explicit permission)
  • Competitor analysis and benchmarking
  • Monthly performance reports with email delivery
  • Real-time alerts for ranking drops and visibility changes
  • AI crawler bot tracking and reporting

2. AI-Generated Content Disclaimer

CRITICAL: This platform uses artificial intelligence (including Groq Llama 3.3, OpenAI GPT, Anthropic Claude, Google Gemini, and Perplexity) for analysis and recommendations. By using our service, you acknowledge the following:

  • AI outputs are not guaranteed to be accurate. Per Anthropic's terms: "Outputs may not always be accurate and may contain material inaccuracies even if they appear accurate because of their level of detail or specificity."
  • AI content may not be unique. Per OpenAI's terms: "Output may not be unique and other users may receive similar content." Similar SEO recommendations may be given to your competitors.
  • AI content may not be copyrightable. The U.S. Copyright Office has clarified that purely AI-generated material may lack the human authorship required for copyright registration. We recommend meaningful human editing of all AI-generated content.
  • Services are provided "AS IS." We inherit the "AS IS" nature from our AI providers and make no warranties of accuracy, completeness, or fitness for any particular purpose.
  • You should not rely solely on AI outputs without independent verification, especially for business-critical decisions.

Human Review Requirement: Per Anthropic's Acceptable Use Policy, AI-generated content for external publication is classified as a "high-risk use case" requiring that "a qualified professional must review the content prior to dissemination." You agree to review all AI-generated content before publishing.

3. No SEO/GEO Outcome Guarantees

We do NOT guarantee any specific results including but not limited to: ranking improvements, traffic increases, revenue growth, lead generation, conversion rate changes, or GEO visibility scores. SEO and GEO results depend on many factors beyond our control including search engine algorithm changes, AI platform updates, competitor actions, and market conditions.

  • Past performance does not guarantee future results
  • SEO scores and rankings are AI-generated estimates, not guarantees of search engine performance
  • GEO visibility scores reflect a point-in-time snapshot of AI platform mentions and may fluctuate
  • Algorithm changes by Google, Bing, or AI platforms may affect results at any time without notice

4. Automated Content Modification

By granting content modification permission during client onboarding, you explicitly authorize SEAES to:

  • Automatically modify website meta tags (titles, descriptions) for SEO optimization
  • Inject or update structured data markup (JSON-LD schema) on your pages
  • Optimize heading structures (H1-H6) for better search visibility
  • Create and publish SEO-optimized content when authorized
  • Modify technical SEO files (robots.txt, XML sitemap) when technical permission is granted

Important provisions:

  • A complete audit log of every change (with before/after snapshots) is maintained in your dashboard
  • You may review all pending and applied changes at any time
  • You may revoke permission at any time from your Settings page
  • Upon revoking permission, all automated modifications will cease immediately
  • SEAES is not liable for temporary ranking fluctuations during optimization
  • We strongly recommend maintaining regular backups of your website content

5. GEO (Generative Engine Optimization) Monitoring

  • SEAES monitors brand visibility across AI platforms including ChatGPT, Gemini, Perplexity, Claude, and Google AI Overviews
  • This involves querying AI platforms with industry-relevant prompts and analyzing responses for brand mentions and citations
  • GEO monitoring data is used for visibility scoring, trend analysis, and competitive benchmarking
  • AI crawler activity on your website is tracked and reported in your dashboard
  • Per Google's Gemini Terms: Results from grounded search cannot be cached, resold, or used to build competing indices

6. Prohibited Uses

You agree NOT to use SEAES for:

  • Fake reviews or testimonials — Generating deceptive reviews is prohibited by all AI providers and violates FTC guidelines
  • Spam content generation — Creating content primarily for search ranking manipulation without genuine value
  • Black-hat SEO — Cloaking, hidden text, doorway pages, link manipulation schemes
  • Misrepresenting AI content as human-written — Per OpenAI: "People should not represent API-generated content as being wholly generated by a human"
  • Deceptive or misleading content — Content designed to deceive users or search engines
  • Competing AI model training — Using outputs to train or develop competing AI models
  • Professional advice impersonation — Generating legal, medical, or financial content without licensed professional review
  • Privacy violations — Collecting or processing personal data without consent

Violation of these terms may result in immediate account termination without refund.

7. Client Responsibility

  • You are solely responsible for content published on your website based on AI recommendations
  • You must review and approve all AI-generated content before publication
  • You must ensure your website hosting can handle automated API requests from our platform
  • You must provide accurate CMS API credentials; expired credentials will pause automation
  • You must comply with Google's content policies including E-E-A-T (Experience, Expertise, Authoritativeness, Trustworthiness) standards for AI content
  • You must disclose AI involvement in published content where required by law
  • You grant explicit consent during onboarding for specific automation levels and can modify these at any time

8. Intellectual Property & Content Ownership

  • You retain all rights to your input data (website content, keywords, business information)
  • You own AI-generated outputs created through our platform, subject to the underlying AI providers' terms
  • Per Anthropic: "we assign to you all of our right, title, and interest...in Outputs"
  • Per OpenAI: "you own the Output" and "OpenAI hereby assigns to you all their right, title, and interest"
  • The SEAES platform, its code, design, and branding are our intellectual property

Copyright Warning: Purely AI-generated content may not qualify for copyright protection under current U.S. law. The U.S. Copyright Office requires "meaningful human authorship" for registration. We strongly recommend substantive human editing of all AI-generated content to establish copyright eligibility.

9. Indemnification

You agree to defend, indemnify, and hold harmless SEAES and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use or misuse of the Platform or AI-generated outputs
  • Content published on your website based on AI recommendations
  • Violation of these Terms or any applicable law
  • Infringement of third-party intellectual property rights through your use of AI outputs
  • Use of the Platform for prohibited purposes (spam, fake reviews, deceptive practices)

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEAES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • Our total aggregate liability shall not exceed the fees paid by you during the 12 months preceding the claim
  • We are not liable for any ranking drops, traffic decreases, or revenue losses resulting from AI-generated recommendations or automated changes
  • We are not responsible for third-party service outages (Google APIs, AI providers, hosting infrastructure)
  • We are not liable for content changes that may temporarily affect search rankings during optimization
  • Per our AI providers' terms, their maximum liability to us is capped at fees paid or $100 — this limitation flows through to our service

Indian Law Exception: These limitations do not exclude or limit liability under Section 43A of the Information Technology Act, 2000 (compensation for failure to protect sensitive personal data), or liability arising from gross negligence or willful misconduct. Nothing in these Terms shall limit your statutory rights under the Consumer Protection Act, 2019.

11. Data & Credential Security

  • All API credentials and access tokens are encrypted at rest using AES-256-GCM
  • CMS API keys are never logged, displayed, or transmitted in plain text after initial submission
  • Google OAuth tokens are stored securely and refreshed automatically
  • Access to client data is strictly role-based (Admin, User, Viewer)
  • See our Security page for full details
  • CMS API keys and website credentials are classified as Sensitive Personal Data or Information (SPDI) under the IT (Reasonable Security Practices) Rules, 2011 and handled with enhanced protections
  • System and access logs are maintained for a rolling 180-day period as required by CERT-In Cyber Security Directions, 2022
  • Security practices are aligned with IS/ISO/IEC 27001 standards as prescribed under Rule 8 of the IT SPDI Rules, 2011

12. Termination

  • Either party may terminate with 30 days written notice
  • We may terminate immediately for violation of these Terms, prohibited uses, or non-payment
  • Upon termination, all automated modifications will cease immediately
  • Client data will be available for export for 30 days after termination
  • After 30 days, all data including stored credentials will be permanently deleted
  • Any fees paid for unused service periods may be refunded on a pro-rata basis at our discretion

13. Subscription, Billing & Refunds

SEAES offers free and paid subscription tiers:

  • Free Tier: Limited audits and features at no cost. No credit card required. We reserve the right to modify or discontinue the free tier at any time
  • Paid Plans: Billed monthly or annually in advance. Prices are subject to change with 30 days notice
  • Cancellation: You may cancel at any time. Your subscription remains active until the end of the current billing period. No cancellation fees for monthly plans
  • Annual Plans: Cancellation within the first 30 days qualifies for a pro-rated refund. After 30 days, the remaining balance is non-refundable but access continues until the end of the annual period
  • Refund Window: Monthly subscription payments may be refunded if requested within 7 days of billing. Contact support@seaes.in with your refund request
  • Non-Refundable: Individually consumed AI credits, one-time audit purchases, and custom report generation are non-refundable once delivered
  • Failed Payments: If a payment fails, we will retry up to 3 times over 7 days. After 3 failed attempts, your subscription will be downgraded to the free tier. No data will be deleted during this grace period
  • Credits: API credits and usage allowances are non-transferable between accounts and expire at the end of each billing period

14. SEO Scores, Valuations & Estimates

All SEO scores, GEO visibility scores, site valuations, keyword difficulty ratings, traffic estimates, and ranking predictions generated by SEAES are estimates only. They are calculated using AI algorithms and third-party data sources and should NOT be used for business valuation, investment decisions, legal proceedings, or any purpose requiring verified accuracy.

  • SEO audit scores are algorithmic assessments based on observable technical factors — they do not represent a definitive measure of search engine favorability
  • GEO visibility scores reflect a point-in-time sample of AI platform responses — AI platforms may change their responses at any time
  • Keyword ranking data sourced from Google Search Console reflects Google's own metrics and may differ from third-party rank tracking tools
  • Traffic and revenue projections are statistical estimates and should not be relied upon for financial planning
  • Competitor scores are based on publicly available data and may not reflect complete or current information
  • You assume all risk associated with decisions made based on platform-generated scores and estimates

15. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters, pandemics, or public health emergencies
  • Government actions, sanctions, embargoes, or regulatory changes
  • Internet infrastructure failures, DNS outages, or major cloud provider outages
  • Search engine algorithm changes or AI platform policy updates that affect service functionality
  • Third-party API deprecation, rate limiting, or service discontinuation (Google, Groq, OpenAI, Anthropic, etc.)
  • Cyberattacks, DDoS events, or security incidents beyond our infrastructure

If a force majeure event continues for more than 30 consecutive days, either party may terminate the agreement with written notice. In such cases, pre-paid fees for the affected period will be refunded on a pro-rata basis.

16. Indian Regulatory Compliance

SEAES is operated from India and complies with the following Indian data protection and technology laws:

Digital Personal Data Protection (DPDP) Act, 2023

  • SEAES acts as a Data Fiduciary under Section 2(i) of the DPDP Act for all personal data processed through the platform
  • We collect and process personal data only for lawful purposes for which informed consent has been obtained (Section 4)
  • Consent is free, specific, informed, and unambiguous as required by Section 6 — pre-ticked boxes or bundled consent are not used
  • You may withdraw consent at any time with ease comparable to granting it (Section 6(4)). Withdrawal does not affect lawfulness of prior processing
  • Your rights as a Data Principal (access, correction, erasure, grievance redressal, nomination) are detailed in our Privacy Policy
  • Cross-border data transfers comply with Section 16 — we do not transfer data to countries on the Government's restricted list

Information Technology Act, 2000

  • Section 43A: We implement reasonable security practices to protect sensitive personal data. Failure to do so may result in unlimited compensation liability
  • Section 72A: All personal data received under contract is kept strictly confidential. Website credentials and API tokens are never disclosed to third parties (AI providers receive only website content, never credentials)
  • IT SPDI Rules, 2011: Passwords, API tokens, and financial data are classified as Sensitive Personal Data or Information and handled with enhanced security including AES-256-GCM encryption, access logging, and annual security audits aligned with IS/ISO/IEC 27001

CERT-In Cyber Security Directions, 2022

  • 6-hour incident reporting: All cyber security incidents are reported to CERT-In within 6 hours of detection
  • 180-day log retention: System logs, access logs, and modification logs are maintained for a minimum rolling period of 180 days within Indian jurisdiction
  • Credential breach protocol: In case of suspected credential compromise, stored credentials are immediately invalidated, affected users are notified within 1 hour, and CERT-In is notified within 6 hours

Consumer Protection Act, 2019

  • All pricing is displayed transparently with applicable taxes as per the E-Commerce Rules, 2020
  • Cancellation and refund policies are clearly stated in Section 13 above
  • No misleading claims about guaranteed SEO/GEO results (as per unfair trade practices provisions)
  • A designated Grievance Officer is available for complaint resolution (see Section 17 below)

17. Grievance Redressal

In compliance with Rule 3(1)(k) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection Act, 2019:

  • The Grievance Officer shall acknowledge your complaint within 24 hours and resolve it within 15 days from the date of receipt
  • Data protection grievances will be addressed within 30 days as per the DPDP Act, 2023
  • If you are not satisfied with the resolution, you may approach the appropriate Consumer Disputes Redressal Commission or court of competent jurisdiction
  • For data protection complaints, you may also approach the Data Protection Board of India once constituted under the DPDP Act

18. Governing Law & Disputes

  • These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019
  • Any disputes shall first be resolved through good-faith negotiation for a period of 30 days
  • If negotiation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator in India
  • The language of arbitration shall be English and the arbitrator's award shall be final and binding
  • Either party may seek injunctive relief from a court of competent jurisdiction to prevent irreparable harm
  • If any provision is found unenforceable, the remaining provisions shall continue in full force and effect

19. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes via email at least 30 days before they take effect. For changes that materially reduce your rights or expand our use of your data, we will require affirmative re-consent as per the DPDP Act, 2023. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
